Course Summary

Our Duties of a Non-Executive Director (NED) online training course is designed to help you develop a deeper understanding of the responsibilities and functions of a Non-Executive Director.

Directors may be liable to penalties if they fail to carry out their duties, so it’s important to understand your statutory responsibilities, and exercise reasonable care in your position as NED.

Led by Caroline Donaldson, who has supported executive boards of global companies to SME’s and charities. Caroline will help you understand how the role differs from an Executive Director and gain an appreciation of the skills needed for success in the NED role.

With a focus on corporate governance, finance, risk, culture and strategy, the course will examine the attributes of a Non-Executive Director:

  • Statutory duties – complying with legal, financial and regulatory requirements.
  • Governance and oversight – Be prepared to challenge, provide independent oversight and offer strategic guidance and support to the executive team.
  • Being effective in the boardroom – strategies to deal with boardroom dilemmas and manage common organisational challenges.
  • Managing risk – assessing the efficacy of risk management systems and processes in place

As well as clearly explaining your statutory duties and potential liabilities, this course helps prepare you for the demands and challenges of the Non-Executive Director role.
